Wang YH/Asdew still have 181.466m shares (under nominee accounts). But he stop disposed his shares after 8 May 2014. For 2 months plus, no announcement on further disposal of shares, maybe he is waiting for better price or corporate action by Mr. Yeo.

I took a brief review on the company status recently, but confused on its account. As a cash company, with approx net cash of 13 mil in May 2014, but the net cash level dropped to 2.6 mil in Jun 2014 end-year report?

I didn't dig in further, anyone able to clarify?

The RTO detail was announced. The "shell" is valued at above S$40 mil this round, with issue price of 1.615 cents, and an existing share base of 2667.4 million shares.

Surprisingly, the RTO has nothing to do with Mr. Yeo of Lawton & Yeo Design Associates, but a China company...

The board of directors (“Board” or “Directors”) of Memstar Technology Ltd. (“Company”) wishes
to announce that the Company has, on 20 December 2014, entered into a share sale and
purchase agreement (“Agreement”) with the existing shareholders of Longmen Group Ltd
(“Target”), comprising the persons named in Appendix A below, to acquire the entire issued and
paid-up share capital of the Target (“Sale Shares”), together with its subsidiaries (“Proposed
RTO”), from the shareholders of the Target as at completion of the Proposed RTO (collectively,
the “Vendors”, and each, a “Vendor”).
Pursuant to the Agreement, the aggregate purchase price for the Sale Shares is US$420 million
(or S$546 million, at an exchange rate of US$1 = S$1.30) (“Purchase Price”) to be fully satisfied
by the Company, at completion of the Proposed RTO (“Completion”), by the issuance and
allotment of such number of new ordinary shares (“Shares”), at S$0.01615 per Share (“Issue
Price”), representing an aggregate of 73.10% of the total issued share capital of the Company on
Completion (“Consideration Shares”).
The Issue Price represents a premium of approximately 7.24% to the volume weighted average
price (“VWAP”) of the Shares of S$0.01506 on 28 November 2014, being the last market day
preceding the date of the Agreement.
