ISOTeam expands M&E capabilities with proposed acquisition of Rong Shun

Acquisition of in-house M&E capabilities expected to support ISOTeam’s renewable energy installation business as well as optimise control over costs and work progress for fast-track A&A projects.

Purchase consideration will be satisfied through a combination of cash and treasury shares.
Target company will guarantee cumulative profit before tax of an aggregate sum representing at least 12% of the existing order book for the period 1 October 2016 to 30 September 2019.

Always curious to know what is the consequence if the vendor fails to deliver on the profit guarantee or maintain the order book target. The vendor wld hv been fully paid by then.

I would be good to check whether there is a clawback agreement in place.

The board consists of
1) 3 Executive Directors who are also co-founders
2) 3 Independent Directors ( as you have guessed correctly they are Chartered Accountants or Lawyers) and also sits in other boards.... 

I prefer companies with diversified board...

If the vendor becomes a substantial shareholder, or may even end up with a board seat, unlikely the board will take any action few yrs down the road. If they take no action, minority shareholders can only suck thumb. Thats why.. Investing in local companies is not true investing but a gamble.

ISOTeam wins $22.7 mil in new contracts

CATALIST-LISTED building maintenance firm ISOTeam on Tuesday announced that it has secured S$22.7 million worth of new projects in the new year.

These new contracts - comprising a mix of repairs and redecoration (R&R) and addition and alteration (A&A) projects, as well as a S$6.3 million renewable energy installation job (its single largest project won to-date) - are expected to be completed between January 2017 and June 2018.

The S$6.3 million project involves installation work for the solar leasing of grid-tied solar photovoltaic system for 150 blocks. ISOTeam's other projects include R&R works to Tekka Centre and the proposed new erection of a three-storey envelope control detached house with a basement, attic and swimming pool at 106 Watten Estate Road.

There are about 800 plus blocks to be delivered by sunseap for the solar photovoltaic systems. So if Isoteam clinch all projects that is about $34 million plus in total future revenue. Not too bad IMO.
