Your understanding is correct. If delisting is not approved at the EGM, then the exit offer will lapse.

If delisting is approved at EGM, shareholders will be asked whether they want to receive distribution in specie in GEMS shares or cash ($0.792 per share) in a separate notice.

After excluding the votes from related parties, pretty overwhelming approval it seems.
