I would like to attend the Annual General Meeting (AGM) held by an issuer. Can the bank help me make arrangements for it?
We refer to the Terms and Conditions of the Bank (available HERE), and set out below our response to the issues which you have raised:

All securities (including shares) purchased by you are delivered to the Bank as custodian and are held by the Bank or our nominee as custodian for and on behalf of you. While you remain the beneficial owner of these securities, at the point of account opening, you have authorised us to exercise all rights accruing or vested in you under the applicable law in relation to the rights of voting in respect of any of the securities held for your account. The Bank or our nominee will exercise all rights of voting in respect of any of the securities in such manner as we deem fit. You further agree that we may at our own discretion decide not to exercise any of such voting rights. Please refer to Sections 1.4 and 1.6 of Section 3 (Investment Product Terms) for further information.
You also acknowledge that the Bank is not obligated to make available all or any notices, proxies and proxy soliciting materials in relation to the securities held pursuant to these Terms. Please refer to section 1.6.8 of Section 3 (Investment Product Terms) for further information. However, if you wish to attend any Annual General Meeting ("AGM") held by an issuer, you may inform us of your intention by calling the Bank's hotline at 1800 242 5333. Upon being informed, the Bank will, but is not obligated, to make arrangements for you to attend the AGM, on condition you abide by the following requirements:
You are the beneficial owner of the securities;
You inform the bank at least 7 working days prior to the business day on which the AGM is held;
You consent to the Bank disclosing your personal details (Name, NRIC, Contact Number, and Trading Account Number) to the issuer/company for purposes of confirming your attendance at the AGM;
You agree to bring along your monthly securities statement which reflect that you still own the securities corresponding to that particular issuer; and
You produce your Singapore NRIC at the AGM venue for identification purposes.
You acknowledge and understand that you are only allowed to attend the AGM as an observer and have no right to vote at the AGM.

Is it possible to vote without attending the AGM?

There's an AGM which I cant attend, and cannot nominate any proxy to attend either.
Is it possible to end in the proxy form indicating my number of shares and the votes? Will they count this?

I don't think proxy form can be submitted on the spot.

I mean can send in the proxy form earlier, but don't attend AGM
Will my votes be counted?

Yes! Just proxy the Chairman of the meeting. Very common occurrence.

Yes! Just proxy the Chairman of the meeting. Very common occurrence.

So in the proxy form do we write the chairman's details?
Or leave it empty and submit?

Alamak! Please read the proxy form carefully. There is a provision for the Chairman to be your proxy...

So you can basically leave the form empty but remember to sign off.

Finally got a response from SGX:

Dear Sir/Mdm

Thank you very much for your reply.

We wish to inform you that for CDP account holders, generally for companies incorporated in Singapore, shares need to be reflected in the CDP account 48 hours before the Annual General Meeting ("AGM") in order for one to be able to attend the AGM.

We hope that we have clarified your queries.

Do let us know if you require further assistance from us.

Yours sincerely

CityFarmer san

The company secretary needs to request the information from the share registrar. He needs some lead time and should not be expected to perform a last minute scramble. So a 48-hours cut-off dovetails nicely with the proxy cut-off as well. Big Grin

I agree on the proxy, since post-processing is needed by the secretary. Attending meeting might be able to do it real-time online, or an up-to-date copy.

Anyone have tried that, by attending meeting just one day after T+3?
