The Disposal entails the disposal of the entire ordinary share capital of its wholly-owned
subsidiary, Addvalue Communications Pte Ltd (“AVC”), constituted by 1,100,000,000
ordinary shares held by the Company (the “AVC Shares”), to the Buyer, an unrelated third
party, for a cash consideration of S$330,000,000 (the “Disposal Consideration”). AVC is
one of the key subsidiaries of the Company and, pursuant to the listing rules of the
Singapore Exchange Securities Trading Limited (“SGX-ST”), the Disposal is subject to the
approval of the shareholders of the Company (“Shareholders”).

The Disposal Consideration represents a premium of approximately 1,883% and
27,419% to the net asset value (“NAV”) and net tangible asset (“NTA”) value of AVC as
at 31 December 2013 of approximately US$12.926 million and US$0.942 million,
respectively, based on the latest available unaudited accounts of AVC for the nine
months ended 31 December 2013.

WOW! Too good to be true?

Just being a bit "nasty" here. I really admire this company for being so quick and efficient to halt its shares trading pending of such a big announcement vis-a-vis a reputable few billion dollar listed company who took so long for a trading halt and saw spike in share prices prior to its trading halt.

Addvalue tech has done a good job!

Who is the buyer ? Do they have money and why are they willing to pay $ 330 mils Addvalue and what is the value they are getting ? There are conditions to be satisfied such as approval by China and no objection clause (Even if the deal go through it can be reversed

Buying a satellite communication company from USA or any western countries is impossible for china. They even sent spies to those countries to seek for this type of technology. So they are willing to pay huge amount to buy from a friendly country lo..

You can buy a satellite company anywhere but export of western countries' satellite equipment are controlled via export control unless you own the technology.
If it is a controlled item, even you own a US satellite company in US, you still cannot export it to China LEGALLY without export approval.

I still don't get the point, I always believe that the Chinese's technology is far beyond what other Asian counterparts have, so what's the real intention for buying a small company with so much premium? Unless it is a corruption deal?

Anyway congratulation to those who vested, the price jumps 163% already...
