The announcements on 19 Jan 15 on the incorporation of Garden Fresh Group Holdings in Cayman Islands as well as the incorporation of Garden Fresh Group in HK, resulting in the following structure, were made in a routine manner:

...............................Sino Grandness (incorporated in Singapore)
...............................................*.........................*

...........................................*...................................*

Garden Fresh Group Holding Co Ltd........................Garden Fresh Group Co Ltd
..(incorporated in Cayman Islands)...........................(incorporated in HK)

Where will Garden Fresh (HK) be in ultimately?
Garden Fresh(HK), the issuer of the two convertible bonds, is aiming for listing on an established stock exchange.

If this restructuring means that IPO is in progress then it is not a "good" sign to me...partly becoz I am hoping that the IPO is delayed until after the CB expiry.

Yet it is good to know that IPO is progressing well..this will definitely rubbish shortsellers claim that SinoG is fraud, otherwise IPO would have been dead by now.

No wonder there was a sudden surge from 465cts..Buyers now can look forward to multi-bagging from here.

vested.

Based on the two announcements on 19 Jan 2015, the two newly-incorporated subsidiaries are related to Sino Grandness in the following way:

..............................Sino Grandness (incorporated in Singapore)
...................................................*
.........................................100%...*
...................................................*
.............................Grandness (HK) Industry (incorporated in HK)

...................Garden Fresh Group Holding Co Ltd (incorporated in Cayman Islands)
....................................................*
.........................................100%....*
.....................................................*
........................Garden Fresh Group Co Ltd (incorporated in HK)

The one I constructed this morning is incorrect.

Is the incorporation of Garden Fresh Group Holding and Garden Fresh Group in preparation of IPO?

Another possibility of setting up a cayman island co. is to hold intellectual properties so that the royalty income will not be subjected to taxation.

Like Coca Cola, the Garden Fresh brand may one day be licensed out with manufacturing processes managed by the licensees.

Sina Grandness was incorporated in Singapore on 2007, and listed on 2009. Annual revenue was around half a billion S$

Coca-cola began in 1886, and survived and remained prosperous till today. Annual revenue was around half of 100 billion US$

It is inappropriate to compare the company with Coca-cola, which is way out in all aspects, IMO

If i own this stock, using this as a contrarian signal, it is most probably time to start to think of selling it.
