Don't really like this type of thing happened unless it offers a really good exit price like PE 30x Big Grin

Especially during this time i find it is getting harder and harder to find a undervalued counter. Quite tiring and taxing doing all these research all over again.

To research this stock i have to force myself to watch the video how they stuck the big big tube into the patient throat deep deep. It ain't peasant at all to watch.

The board of directors (“Directors”) of LMA International N.V. (“Company”) refers to the announcement made by the Company on 14 August 2012 (“Previous Announcement”) in relation to the proposed disposal of substantially all of the Company’s assets (excluding cash) to Teleflex Incorporated (“Purchaser”) in accordance with the terms and conditions of a conditional asset purchase agreement dated 14 August 2012 entered into between the Company and the Purchaser (“Proposed Disposal”). Unless otherwise defined, all capitalised terms and references used in this Announcement shall have the same meaning and construction as defined in the Previous Announcement.
The Directors wish to announce that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR Act”), as amended, relating to the Purchaser’s proposed acquisition of the Purchased Assets from the Company pursuant to the Proposed Disposal expired at 11:59 p.m. (New York time) on 17 September 2012.
Expiration of the waiting period under the HSR Act satisfied one of the conditions to the closing of the Proposed Disposal. Completion remains subject to certain other conditions including, inter alia, approval of the Proposed Disposal by Shareholders at the EGM.

LMA crosses 0.6 for the first time ending 0.605 today since announcement. seems like market likes its story!

Need help from fellow investors here.

Buyout of 62c announced in Aug.

Why is it not announced in SGX website and no further update when the deal would be completed?

Only 0.015 from buyout price now. Seems logical to cash out now if holdings not substantial. But will of cos lose out if there's a counter offer.

Anyone know the deadline for shareholders to take up the offer? Seems like no sound no air!

Izzit advisable to cash out now or is there a possibility of a counter offer???

this is not a buyout or takeover. The company is selling substantially all of its assets and will be liquidated after that.

thanks bro but confused here. why is there no deadline for the supposed liquidation? do shareholders need to vote or as n when they decide to delist they can suka suka do so???

they have already sent out all the details for the delisting including the egm and expected date of payout. if you are a shareholder you should have recd the circular by now. if not, you can refer to their sgx filing too.

Read the report in the EGM:

Expected date for the payment of the Final Distribution: 28 February 2013[/undefined]

Could senior bros pls advise what do they mean by 'Advance Distribution' and 'Final Distribution'? Say if we do not sell our shares in the open market by 25 October, when will we get the proceeds? I fear it's 28 February 2013, which is ridiculously long! Unless you hold many shares, else it would be better off to rid if we indeed have to wait 3 months!

the liquidation of the company takes a while. that's why there is an advanced distribution in early Nov. the final distribution is paid after the liquidation of the company, probably won't be a big amount, just the remaining if any left after liquidation.

my guess only. did not read through the circular as not an shareholder.

The payment is split into 2 parts. The first payment (advance) consists of most of the money. Some money is held back to pay liquidation expenses. The remaining sum (final) is paid after all expenses have been settled. As to when the payments will be made, you have already provided the answer yourself. Sounds very Zen, doesn't it - the answer is in the question.
