The higher Administrative expenses of HKD22.7m (+18.4% YOY) are likely related to the acquisition (completed on 5Mar13) of a 60% interest in the trading of frozen food business and business assets of Whole Sun Ltd for a cash consideration of HKD33.6m, and other new product/business projects described in Section 10 of the announcement. Otherwise, I suppose 1Q's PBT and NP could well be higher by HKD1.0 to 2.0m?

1Q13:- slow increment...

a)The Group’s turnover for the first quarter increased by 5.5% or HK$7.5 million to HK$145.4
million as compared with the same period of last year. The Group has completed the acquisition of
frozen food business which contributed substantial increment to the Group’s turnover in March.
Gross profit margin increased from 29.6% to 32.4% which was mainly due to the Group continues
to benefit from the current level of coffee prices.
Distribution costs decreased by 3.4%, as there were no one-off promotional events in the first
quarter of 2013.
Other operating income of HK$0.7 million mainly represented foreign exchange gain.
The net profit of the Group amounted to HK$2.6 million, increased by 306.5% as compared with
the same period of last year.
(b) The financial position of the Group remained steady. Cash and cash equivalents amounted to
HK$53.3 million as at 31 March 2013.

The Group has completed the acquisition of frozen food business in this period and entered into JV
agreement with Heritage Teas (Private) Limited to construct a new factory in our Dongguan’s property
at the end of 2013 to process and supply tea to the China and oversea markets. In the coming quarters,
the Group will actively launch our innovative beverage machines and continue to initiate a number of
business plan by working with other industry partners in order to enlarge our total market share and
penetration. We expect all the development activities will continue to bring additional interests to the
shareholders

huat ah! santa claus is coming early this Christmas!

Mr. Peter Wong, Tsit Wing’s Chairman and CEO, has today acquired an aggregate of 20,000,000 ordinary shares in Tsit Wing (the “Shares”) at a price of S$0.3075 per Share (the “Acquisition”). The Offeror and its concert parties now own, control or have agreed to acquire an aggregate 49.52% stake in Tsit Wing.
 As a result of the Acquisition, Hero Valour Limited (the “Offeror”), Mr. Peter Wong’s wholly-owned special purpose vehicle, is required to make a mandatory conditional cash offer (the “Offer”) for all the Shares, other than those Shares owned, controlled or agreed to be acquired, directly or indirectly by the Offeror as at the date of the Offer, at an offer price of S$0.3075 per Share.
 The Offeror does not intend to increase the Offer Price. The Offer Price of S$0.3075 per Share is final and will not be revised.

Hi I would like to ask, I understand that the offer documents will be despatched to holders of the offer shares not earlier than 14 days and not later than 21 days from the Announcement Date. If i choose to buy the shares tomorrow, will i be able to receive the offer document, or will it be sent to the previous shareholders. Hope someone can clarify, thanks!

i was thinking if the offer price for some reason is below 0.3075, it could be an arbitrage opportunity?

For info, YEOMEN emailed and he has gotten out of TWG today, figure the 6 millions shares sold in the market today is his..

What to do, since Chairman Wong has offered a higher price of 30.75 cts, previous offer is 27cts some years back..
I kinda of buy TWG's expansion plan into China... BUT looks like this is the end of the ride...
was looking for a 2x/3x TWG in 5 years time.. but then again, Chairman Wong is shrewd indeed!
