I am not surprised by the poor performance, based on the observation on the company Singapore retail stores. I reckon, the main reason should be the instability in HK...

Eu Yan Sang falls to losses of $3.6 mil in 4Q

SINGAPORE (Aug 26): Eu Yan Sang, the retailer of Traditional Chinese Medicine, has swung into losses in the fourth quarter, due the challenging macro-economic environment in Hong Kong and Malaysia, it says.

For the three months to June, the group made a loss of $3.6 million. A year ago, it had reported earnings of $1.6 million. Revenue fell 15% to $72.3 million. For the full year, earnings fell 70% to $4.6 million from a year ago as revenue fell 4% to $350.4 million.

Gross margins for the 4Q and full year came in at 49%, lower than the previous corresponding quarter's gross margin of 52% and last year's gross margin of 50%. This was mainly due to the impact of product sales mix and promotions.

Eu Yan Sang said the 4Q operating loss was primarily due to the decline in revenue. This was partially cushioned by lower spending on administrative expenses.

Eu Yan Sang just announced a set of less than satisfactory profit but declared an interim dividend of 2.5 cents. Thought it was halted for a few days and expected them to announce some corporate 

actions. Sometime it is really difficult to anticipate what company will do.

I'm seeing a trend whereby the founders of public listed companies are delisting the company, taking advantage of tanking prices, lowered profitability and still as yet, cheap credit to fund the delisting.
Of course, the stated reasons will always be some other reasons, like trying to avoid the taxes for construction companies, because of low liquidity etc.
I suspect some of these companies will eventually relist either here or overseas after a few yrs, when they can get better multiples in an IPO.
I've never been vested in Eu Yan Sang, but from a brief look at the share price history, I think many shareholders would be losing money at this current offer of $0.6.

The Board wishes to inform the Shareholders that the percentage of the total number of issued Shares which are held in public hands has fallen below 10 per cent. and accordingly, the Company no longer meets the free float requirement prescribed by Rule 723 of the listing manual of the SGX-ST

Since delist, collected a few round of dividend and I thought just keep for long(er) term.

Just got the package today. I plan to accept. Yes. One of the nicest owner even after delisted.

Your calculation of 1.8 is really close to 1.18184 Tongue

Two considerations before I decide:
1) $$$ back in 7 days of acceptance - this would means I should submit asap
2) will there be a revised offer - this would means I should wait for the final offer price

Thinking thinking thinking...
Still have 3 weeks to decide.
