Since offeror does not hold any shares prior to offer, crossing the 90% level also triggered the compulsorily acquisitions clause.

Quote: As at 5.00 p.m. on 26 February 2015, as the Offeror owns, controls or has agreed to acquire not less than 90% of the Shares in issue and as the Offeror, its related corporations and their respective nominees did not hold any Shares as at the date of the Offer, the Offeror is entitled and intends to compulsorily acquire the remaining Shares pursuant to Section 215(1) of the Companies Act, at a price equal to the Offer Price for each remaining Share.

So does this mean we dun even need to send in the acceptance offer since it will compulsorily acquired? Huh

Then why does para 7 still advise shareholders to send in the acceptance form? Just realise that the offeror damn cheapo. Never offered postage paid envelope with the offer letter. Sleepy

Hi lonewolf,

Yes. But for compulsorily acquisition, you may have to wait longer to get your money back, therefore there is a slight opportunity cost here.

If you have a few offer letters to send to CDP (for example if you wish to accept offers for Keppel Land, CH Offshore, Popular, LC Global Investment etc), just fold to insert all of them into one postage paid envelope to save on postage. Smile

Official closure of the company SGX listing. The company has delisted today.
