Did a write up on lee metal on my blog.

The interesting thing is it actually passes all my checklist but I had choose to ignore it previously due to having too many steel companies in my portfolio. Nevertheless, the company had strengthened its balance sheet and debt level had decreased significantly.

But I am still not investing as I find that the management does not seem to have any direction at the moment.

Pre-Conditional Offer Announcement

United Overseas Bank Limited wishes to announce, for and on behalf of BRC Asia Limited ("Offeror") that, subject to the fulfilment or waiver of the Pre Conditions, the Offeror will make a voluntary conditional cash offer ("VGO") for all the issued and paid-up ordinary shares in the capital of Lee Metal Group Ltd other than those already owned, controlled or agreed to be acquired by the Offeror in accordance with Rule 15 of the Singapore Code on Take-overs and Mergers.

For each Offer Share: S$0.42 in cash.

2.4% Premium over Last traded price of the Shares on the SGX-ST on 20 February 2018 prior to the trading halt on the Shares, preceding the Announcement Date.
9.1% Premium over Last traded price of the Shares on 10 November 2017, being the last full market day prior to the announcement by the Company on notification by certain Shareholders of an unsolicited approach in relation to their Shares (“Last Undisturbed Trading Day”).
32.9% Premium over VWAP per Share for the 12 month period up to and including the Last Undisturbed Trading Day.

But Lee family still sold to BRC anyway..

Last Undisturbed Trading Day - jialat. Self-defined to make Offer look nice. This term "Last Undisturbed Trading Day" only seen recently....
